This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and SleepLoop ("Developer," "we," "us," or "our") governing your installation and use of the SleepLoop software application ("Software").
By downloading, installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
Subject to your compliance with this Agreement, Developer grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices that you own or control.
No ownership rights are transferred to you. The Software is licensed, not sold.
SleepLoop is designed to interact with third-party software and services, including Spotify.
You acknowledge and agree that:
Developer does not control Spotify and makes no representation that Spotify will continue to permit, support, or function with the Software.
You are solely responsible for:
Developer does not monitor user activity and does not determine whether any particular use complies with Spotify's terms.
You may not:
SleepLoop operates primarily on your local device.
Developer does not intentionally collect personal information, Spotify account credentials, or listening history except as described in the Privacy Policy, if applicable.
You acknowledge that third-party services such as Spotify may collect information independently of the Software.
Developer may provide updates, modifications, bug fixes, or new features at its sole discretion.
Developer is under no obligation to provide updates, support, maintenance, or compatibility with any third-party service.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVELOPER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:
DEVELOPER DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION, ERROR, OR LOSS OF DATA.
DEVELOPER DOES NOT GUARANTEE COMPATIBILITY WITH SPOTIFY OR ANY OTHER THIRD-PARTY SOFTWARE OR SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVELOPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS INCLUDES, WITHOUT LIMITATION:
WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVELOPER'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Developer from any claims, liabilities, damages, losses, costs, and expenses arising out of:
This Agreement terminates automatically if you violate its terms.
Developer may suspend or terminate your license at any time if continued use presents legal, security, operational, or business risks.
Upon termination, you must cease all use of the Software and delete all copies in your possession.
This Agreement shall be governed by and construed under the laws of the State of Texas, excluding conflict-of-law principles.
Any dispute arising from this Agreement shall be resolved exclusively in the state or federal courts located within the State of Texas, and you consent to the jurisdiction of those courts.
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
This Agreement constitutes the entire agreement between you and Developer regarding the Software and supersedes any prior agreements or understandings.
